Definitions
In these Terms, the following definitions apply:
- "Company", "We", "Us", or "Our" refers to CYBERDYNE SRL, the provider of the Service.
- "User", "You", or "Client" refers to the individual or entity accessing or using the Service.
- "Service" refers to the platform and related tools provided by the Company, designed to help businesses increase social media engagement through real-time displays, QR codes, follower counters, and other engagement-enhancing features.
- "Platform" means the cloud-based software and infrastructure provided via our website or app.
- "Subscription" refers to the payment plan or usage tier selected by the User.
- "Content" refers to all text, graphics, logos, images, data, and other materials created or uploaded by the User or generated through use of the Service.
- "Account" refers to the registered user profile that allows access to the Service.
- "Guest" (also referred to as "End-Client" or "Guest Viewer") refers to any natural person who interacts with the visual display of the Service (e.g., by viewing the screen, scanning a QR code, or following a social media profile) but does not hold an account with the Company. Guests do not directly access or use the Platform but engage with content published through it by our Users.
Acceptance of Terms
By registering for an account, subscribing to a plan, accessing or using the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our related policies referenced herein.
If you are entering into this agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not have such authority or do not agree with these Terms, do not use the Service.
Description of the Service
The Service provided by Us is a cloud-based software platform designed to help businesses increase visibility and engagement on their social media profiles. It operates under a subscription-based model and offers the following core features:
- Real-Time Social Media Follower CountersThe Service fetches and displays up-to-date follower or subscriber counts from supported social media platforms such as Instagram, YouTube, Facebook etc. "Real-Time" in this context means that follower data is frequently refreshed and kept reasonably current, but may not reflect changes at the exact moment a new follower is added or removed.
- QR Code DisplaysUsers can generate and present dynamic QR codes on their display screens. These QR codes redirect Guest Viewers to selected social media profiles, campaigns, or feedback platforms, encouraging engagement such as follows, likes, reviews, or subscriptions.
- Custom Display ContentUsers may upload and manage supplementary content including branded visuals, promotional banners and text-based messages to personalize the viewer experience and increase interaction.
- Web-Based Administration DashboardEach User is provided access to a secure, browser-based dashboard where they can manage their screens, configure visual content, link social media accounts, and update account settings.
- Hardware CompatibilityThe Service is designed for Android-based ultrawide displays or tablets and may be compatible with other screen types or operating systems.
Third-Party Dependencies
The Service currently relies on APIs provided by third-party platforms, including but not limited to Meta (Facebook, Instagram) and Google (YouTube), to retrieve social media follower counts and enable direct linking via QR codes. As such:
- If these third parties impose restrictions, revoke access, or modify their APIs in a way that limits functionality, we may be unable to deliver certain features as intended.
- Temporary service disruptions or technical issues on the side of Meta or Google may directly impact the availability, accuracy, or reliability of features dependent on those platforms.
- The Company disclaims liability for limitations in service availability or performance that result from issues or policy changes originating from third-party platforms.
Data Refresh, Caching, and Offline Behavior
To ensure continuous operation and optimal screen performance, especially in environments with unstable network connections, the Service may cache data locally and refresh it periodically. As a result, there may be short delays in displaying updated information such as follower counts or newly uploaded content.
Service Improvements and Changes
The Company reserves the right to enhance, modify, or discontinue features of the Service from time to time in order to comply with third-party platform changes, improve security, performance, or user experience, or for other operational reasons. Notice will be provided to Users in accordance with Section [Amendments to Terms].
User Eligibility
To use the Service, you must be at least 16 years of age, or the legal age of digital consent in your country, whichever is higher. This requirement aligns with Article 8 of the General Data Protection Regulation (GDPR) applicable in the European Union.
If you are accessing the Service from the United States, you must be at least 18 years of age to create an account and use the Service, due to applicable legal standards and liability considerations under U.S. law.
By registering for an account, you confirm that you meet the applicable age requirement and have the legal authority to enter into a binding agreement with the Company.
User Obligations and Responsibilities
As a condition of using the Service, all Users agree to the following obligations:
- Provide Accurate Contact InformationUsers must provide accurate, complete, and up-to-date contact information, including a valid email address. This information will be used by the Company to notify Users of important changes, scheduled maintenance, security alerts, or pricing adjustments. The User is solely responsible for ensuring the accuracy of this information. The Company is not liable for any consequences resulting from a User’s failure to update their contact details.
- Maintain Account SecurityUsers are responsible for safeguarding their login credentials. Any activity conducted through the User’s account will be presumed to have been authorized by the User, unless proven otherwise.
- Comply with Applicable Laws and Platform PoliciesUsers must comply with all applicable local, national, and international laws and the terms of service of any third-party platforms integrated with the Service (e.g., Meta, Google).
- Do Not Upload or Display Prohibited ContentUsers are strictly prohibited from uploading, transmitting, or displaying any illegal, infringing, harmful, offensive, or otherwise inappropriate content. The Company reserves the right to remove such content without notice, and to block, suspend, or permanently terminate a User’s account at its sole discretion, depending on the severity of the violation.
- No Refunds for Suspended AccountsIn the event that a User's account is suspended or terminated due to a violation of these Terms, any prepayments, including subscription fees, are non-refundable. Users forfeit any remaining subscription time or credits.
- Use the Service in Good FaithThe Service must not be used for malicious, deceptive, or fraudulent activities, including impersonation or abuse of other users or guests.
Acceptable Use
In addition to the rules above, all Users must comply with any Acceptable Use Policy (AUP) issued by the Company. The AUP outlines further restrictions on use of the Service, including but not limited to limitations on automated access, misuse of QR redirection, impersonation, or platform manipulation.
The AUP, if issued, shall form an integral part of these Terms and may be updated periodically. Continued use of the Service constitutes acceptance of the current version.
Subscription Plans and Payments
Free Access for Early Adopters
As of the effective date of these Terms, the Service is offered free of charge to early adopters. No payment information is required, and Users will have access to the full or limited feature set of the Service at the Company’s discretion.
The Company reserves the right to introduce paid subscription plans in the future. In such case, Users will be notified at least one (1) month in advance by email or through the Platform, detailing the pricing structure, payment terms, and any available subscription tiers. Continued use of the Service beyond the effective date of such change will be subject to the new pricing terms.
Auto-Renewal and Cancellation
Because the Service is currently provided free of charge, no auto-renewal or cancellation terms apply at this time.
Once paid plans are introduced, subscription terms—including renewal cycles, cancellation rights, and billing schedules—will be communicated in advance and reflected in these Terms.
Refunds
Since no fees are currently collected, no refund policy applies at this time.
In the future, if paid subscriptions are introduced, a separate Refund Policy will be provided and referenced in this section.
Intellectual Property and User-Generated Content
Ownership of the Service
All intellectual property rights in and to the Service—including but not limited to the software code, user interface, graphics, design, layout, algorithms, branding, and all related documentation — are and shall remain the exclusive property of the Company or its licensors.
Nothing in these Terms transfers any ownership or rights to the User beyond the limited license granted in Section "Limited License to Use the Service".
Limited License to Use the Service
Subject to these Terms, the Company grants each User a non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service solely for their internal business purposes and in accordance with the intended functionality of the platform.
Restrictions on Use
Users are expressly prohibited from:
- Copying, reproducing, or modifying any part of the Service;
- Reverse-engineering, decompiling, or attempting to extract the source code of the Service;
- Using the Service to develop, promote, or offer any competing product;
- Circumventing or bypassing security features or usage limits;
- Reselling, sublicensing, or redistributing access to the Service unless explicitly authorized under a separate cooperation agreement signed with the Company.
User Content and Responsibility
Users retain all intellectual property rights in any content they upload or display through the Service ("User Content"), such as logos, QR code destinations, or promotional text. By uploading such content, Users grant the Company a non-exclusive, royalty-free license to use, reproduce, and display that content solely for the purpose of delivering the Service.
By uploading or displaying such content, the User warrants that:
- They hold all rights and permissions to use and display the content;
- The content does not violate any third-party rights or applicable laws;
- The content is not illegal, harmful, misleading, or offensive.
The User is solely responsible for all content they upload, and agrees to indemnify and hold the Company harmless against any claims, losses, damages, or liabilities arising out of or related to the User’s content or its use.
The Company does not monitor, vet, or approve User Content and disclaims all liability for any such content displayed via the Service.
License to Display and Use
By uploading or configuring content within the Service, the User grants the Company a non-exclusive, royalty-free, worldwide, transferable, sublicensable license to use, display, reproduce, transmit, or publish such content:
- As necessary to provide the Service to the User;
- In the context of platform functionality (e.g., QR codes or display screens);
- For internal business use, quality assurance, or system testing;
- For promotional or demonstration purposes, including screenshots, videos, or mockups shown on the Company’s website, social media, or other media channels—provided such use is not contrary to applicable law or specific written objection by the User.
This license remains in effect for as long as the User’s content remains active within the platform or until the User withdraws it from the Service.
Right to Remove Content
The Company reserves the right, but is not obligated, to review and remove any User Content at its sole discretion, with or without notice, if it believes that such content:
- Violates these Terms;
- Could expose the Company to legal liability or reputational harm;
- Is misleading, inappropriate, offensive, or inconsistent with the intended use of the Service.
Such removal may occur even if the content is not explicitly illegal. The Company shall not be liable for any loss or damage resulting from the removal of content.
Use of Client Names and Logos
Unless explicitly requested otherwise in writing, the Company may reference the User’s name, logo, or company branding on its website, case studies, or promotional materials to identify the User as a client of the Service.
Feedback
Users may submit suggestions, improvements, or feedback related to the Service. By doing so, the User agrees that the Company may freely use, modify, and incorporate such feedback without any obligation to provide attribution or compensation.
Third-Party Services and Integrations
External Platform Dependencies
The Service integrates with and relies on third-party platforms, including but not limited to Meta (Facebook, Instagram) and Google (YouTube), to retrieve social media metrics and enable content redirection via QR codes. These integrations are made possible through publicly available or authorized APIs provided by those platforms.
No Control Over External Services
The Company has no control over the availability, performance, policies, or functionality of these third-party platforms. Accordingly, the Company:
- Does not guarantee continuous or uninterrupted access to features that depend on third-party APIs;
- Disclaims any responsibility for disruptions, restrictions, or data inaccuracies resulting from changes or outages on Meta, Google, or any other third-party platform;
- Reserves the right to modify or discontinue features if required due to changes in third-party terms of service, technical constraints, or access limitations.
API Limitations and Risk of Deactivation
If a third-party platform (e.g., Meta or Google):
- Suspends, revokes, or restricts API access,
- Alters their API behavior, pricing, or access requirements,
- Experiences a service outage or technical failure,
then certain features of the Service may become temporarily or permanently unavailable. In such cases, the Company shall not be held liable for the resulting unavailability of functionality or any related business impact.
Availability, Support & Maintenance
Service Availability
The Company strives to ensure that the Service is available and operational at all times and will make reasonable efforts to maintain a high level of uptime and reliability. However, no specific uptime guarantees are made, and availability may be affected by factors such as technical issues, maintenance activities, or third-party service disruptions.
For users on free plans, no uptime or availability guarantees are provided. The Service may be interrupted, suspended, or degraded at any time without prior notice. Paid subscription tiers may include prioritized stability and maintenance focus, but do not come with formal service-level agreements (SLAs).
Maintenance and Updates
The Company will perform system updates, improvements, and maintenance as needed to ensure platform stability, security, and functionality. Maintenance may include feature rollouts, bug fixes, database upgrades, or infrastructure changes.
- Major maintenance activities expected to cause extended downtime will be communicated in advance via email or in-app notification.
- Minor updates or short interruptions (e.g., hotfixes or performance deployments) may be carried out without explicit notice, in order to minimize user disruption and reduce unnecessary messaging.
The Company reserves the right to modify, suspend, or discontinue any part of the Service temporarily or permanently for maintenance or technical reasons.
Support
Support is provided on a best-effort basis during regular business hours, which are typically aligned with core working hours in Romania (EET timezone, Monday to Friday, excluding public holidays).
Support inquiries may be submitted through email or support portal. While the Company endeavors to respond promptly, no guaranteed response times apply.
Termination & Suspension
Termination by User
Users may terminate their account at any time by contacting the Company or using any available self-service termination option within the platform. Upon termination, the User’s access to the Service will be revoked, and all related data may be permanently deleted in accordance with the Company’s data retention policy.
Termination or Suspension by the Company
The Company reserves the right, at its sole discretion, to suspend or terminate any User account at any time, with or without prior notice, for any of the following reasons:
- Breach of these Terms;
- Violation of applicable laws or third-party rights;
- Upload or use of prohibited or infringing content;
- Abusive, fraudulent, or malicious behavior;
- Non-cooperation with reasonable support or security requests.
Termination Without Violation
In rare cases, the Company may suspend or terminate an account without any clear violation, such as for operational, technical, or business reasons, or if continued use of the Service is no longer feasible. In such cases:
- The Company will notify the User of the decision, if reasonably possible;
- Any unused portion of a prepaid subscription period will be refunded proportionally;
- The Company shall not be liable for any indirect or consequential damages resulting from such termination.
Effect of Termination
Upon termination, the User’s license to use the Service will immediately cease. The Company may, but is not obligated to, retain content, configuration data, or logs for a limited period following termination, as required by law or internal policy.
Users are encouraged to download or back up any content or data prior to termination. After termination, recovery of data may not be possible.
Limitation of Liability
General Limitation
To the maximum extent permitted by applicable law, the Company, its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits or revenue;
- Loss of business opportunities;
- Data loss or corruption;
- Reputational damage;
- Service downtime or third-party disruptions;
arising out of or in connection with the use or inability to use the Service, even if the Company has been advised of the possibility of such damages.
Limitation for Business Users (B2B)
If the User is acting in a business capacity or on behalf of a legal entity, the total aggregate liability of the Company for any claims relating to the Service — regardless of cause or legal theory — shall be limited to zero (0) euros, unless otherwise required by law.
Limitation for Consumers (B2C)
If the User is a consumer as defined under Romanian or EU law, the following applies:
- The Company shall not be liable for any loss or damage unless it results from a material and proven failure of the Service to perform as described;
- In the event of such failure, the User must notify the Company in writing within a reasonable time after discovering the issue;
- Where the Service remains partially or fully inaccessible for an extended period due to such failure, and the Company does not resolve the issue within a reasonable timeframe, the User may request a pro-rata refund limited to the subscription fee paid for the affected billing period (e.g., the current month);
- No liability shall arise for issues caused by third-party platform outages, user misconfiguration, or temporary maintenance, as outlined in Section "Availability, Support & Maintenance".
This clause does not affect any legal rights the User may have under applicable consumer protection laws.
Legal Exceptions
Nothing in these Terms shall exclude or limit liability:
- For death or personal injury caused by negligence;
- For fraud or fraudulent misrepresentation;
- Where such exclusion or limitation would be contrary to Romanian or European Union consumer protection law.
Indemnity
The User agrees to indemnify, defend, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Any violation of these Terms by the User;
- Any content uploaded, displayed, or distributed through the Service by the User, including any actual or alleged infringement of intellectual property or other rights of a third party;
- The User’s use or misuse of the Service;
- Any unlawful, negligent, fraudulent, or malicious activity conducted through the User’s account;
- Any breach of applicable laws or third-party terms (e.g., Meta or Google APIs) by the User.
The Company reserves the right to assume the exclusive defense and control of any matter subject to indemnification by the User, in which case the User agrees to cooperate fully with the Company in asserting any available defenses.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified or interpreted to the minimum extent necessary to reflect the original intent and ensure validity.
All other provisions of these Terms shall remain in full force and effect.
Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.
Any disputes arising out of or in connection with these Terms, the Service, or the use thereof shall be subject to the exclusive jurisdiction of the competent courts of Romania, unless otherwise required by mandatory provisions of applicable consumer protection laws.
If the User is a consumer, and their habitual residence is within the European Union, they may also benefit from mandatory consumer protection laws and dispute resolution rights applicable in their country of residence.
Amendments to Terms
The Company reserves the right to modify or update these Terms at any time to reflect changes in legal requirements, business practices, or the functionality of the Service.
Any material changes to the Terms will be communicated to Users at least two (2) weeks in advance via email and/or internal messaging systems within the Service.
Users will be deemed to have accepted the updated Terms if they continue to use the Service after the two-week notification period. If a User does not agree to the updated Terms, they must stop using the Service before the changes take effect.
Force Majeure
The Company shall not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from events beyond its reasonable control, including but not limited to:
- Natural disasters, extreme weather, or pandemics;
- Acts of government, embargoes, or legal restrictions;
- Internet outages, power failures, or cyberattacks;
- Labor disputes or strikes;
- Failures of third-party services or APIs (e.g., Meta, Google).
If such an event occurs, the Company will make reasonable efforts to resume the Service as soon as practically possible.
Export Control & Sanctions Compliance
Users may not access or use the Service if they are located in, or a resident of, a country or territory subject to economic sanctions or export restrictions under the laws of the European Union, United States, or other applicable jurisdictions.
By using the Service, the User confirms that they:
- Are not listed on any government-issued sanctions or prohibited parties list;
- Are not using the Service on behalf of, or for the benefit of, any restricted individual or entity;
- Will comply with all applicable export control and sanctions laws when using the Service.
Beta Features
The Company may offer beta, test, or preview features as part of the Service ("Beta Features"). These features:
- Will be clearly marked as “beta”, “test”, or “preview”;
- Are made available as-is, without any warranty, support, or guarantee of performance;
- May be changed, discontinued, or rolled into the main Service without notice;
- May contain bugs or limitations and are not intended for production-critical use.
Use of Beta Features is at the User’s own risk. The Company disclaims all liability arising from their use.
